This Partner Referral Agreement ("Agreement") is between:
globalEPR.ai ("we," "us," "Company"), operated by Global Agentic Holdings Limited, a company registered in Hong Kong (Business Registration No. 80741226), with registered address at Rm 604-5, 6/F., Easey Comm Building, 253-261 Hennessy Road, Wan Chai, Hong Kong.
and
The Partner ("you," "Partner"), the individual or entity that submits a partner application at globalepr.ai/partners and is accepted into the programme.
By submitting a partner application and receiving a referral link, you agree to be bound by this Agreement.
The globalEPR.ai Partner Programme allows you to earn commissions by referring new paying customers to our platform. You refer; we handle everything else — onboarding, compliance management, AR services, and customer support.
You receive a one-time payment of €50 when a customer you referred converts from a free trial to a paid subscription (any tier).
The bonus is earned when the referred customer's first payment is successfully processed (not at signup or trial start).
You receive 10% of the referred customer's monthly subscription fee for 12 consecutive months from the date of their first payment.

Commissions are calculated on the subscription fee only — not on eco-fees, add-on country fees, one-time setup fees, or any pass-through costs billed to the customer.
If the customer downgrades to a cheaper plan during the 12-month period, your commission adjusts to 10% of the new lower fee. If they upgrade, your commission adjusts upward.
The 12-month commission period starts on the date of the customer's first successful payment and ends exactly 12 months later, regardless of the customer's billing cycle (monthly or annual).
After 12 months, no further commissions are paid on that referral.
Upon acceptance into the programme, you receive a unique referral link (e.g., globalepr.ai/signup?ref=YOUR_CODE). A customer must sign up through this link for the referral to be attributed to you.
A referral is attributed to you if the customer signs up within 30 days of clicking your link. After 30 days, the cookie expires and the referral is not attributed.
If a customer clicks multiple partner links, the first partner's link is credited. We do not split commissions.
If you believe a referral was not correctly attributed, email partners@globalepr.ai within 30 days of the customer's signup date. We will investigate and respond within 14 business days.
Commissions are calculated monthly and paid within 15 business days after the end of each calendar month.
Example: commissions earned in June 2026 are paid by 21 July 2026.
The minimum payout threshold is €50. If your accumulated balance is below €50 at month-end, it rolls over to the next month. When you reach €50, the full balance is paid.
Upon termination of this Agreement, any remaining balance below €50 is paid out as a final settlement within 30 days.
Payments are made via bank transfer (SEPA for EU partners, SWIFT for non-EU) or PayPal, at your choice. You must provide valid payment details in your partner profile.
All commissions are calculated and paid in Euros (EUR). If your bank account is in a different currency, conversion is at your bank's rate — we are not responsible for exchange rate differences.
You are solely responsible for all taxes, duties, and reporting obligations arising from commissions received. We do not withhold tax unless required by law.
We do not issue invoices on your behalf. If you require an invoice for your records, you issue one to us (Global Agentic Holdings Limited, HK) and we pay against it. If your jurisdiction requires us to issue a document, contact partners@globalepr.ai.
You agree NOT to:
Violation of any prohibited practice results in immediate termination of this Agreement and forfeiture of all unpaid commissions.
We grant you a limited, non-exclusive, revocable licence to use the globalEPR.ai name and logo solely for the purpose of promoting your referral link. You may not modify the logo or use it in a way that implies endorsement beyond the referral relationship.
All other intellectual property (platform, content, documentation) remains ours.
You may learn non-public information about our business (pricing negotiations, customer data, product roadmap). You agree to keep such information confidential and not disclose it to third parties.
We will not share your personal data except as described in our Privacy Policy (globalepr.ai/privacy).
This Agreement begins when we accept your partner application and continues until terminated by either party.
Either party may terminate this Agreement at any time with 30 days' written notice by email (you: to partners@globalepr.ai; us: to your registered email).
We may terminate immediately (without 30 days' notice) if you violate §6 (prohibited practices) or §7 (your obligations).
We may modify the commission structure, attribution rules, or programme terms with 30 days' written notice. Changes do not apply retroactively to referrals made before the change date. If you disagree with changes, you may terminate under §11b.
Our total liability to you under this Agreement is limited to the total commissions paid to you in the 12 months preceding the claim.
We are not liable for indirect, incidental, or consequential damages, including lost profits or lost referral opportunities.
We are not liable for service outages, payment processing delays by third parties (Stripe, banks), or changes in customer behaviour after referral.
You are an independent contractor, not an employee, agent, or legal representative of globalEPR.ai. This Agreement does not create a partnership, joint venture, or franchise relationship.
You are responsible for your own business expenses, taxes, insurance, and compliance with local laws.
This Agreement is governed by the laws of the Hong Kong Special Administrative Region. Disputes are resolved per the dispute resolution clause in our Terms of Service (globalepr.ai/terms).
